The Illinois LLC annual report is the yearly filing that keeps your company alive on the Secretary of State's records. Every Illinois LLC, foreign LLC admitted in Illinois, corporation and foreign corporation must file one, and each must also keep a registered agent and registered office in the state. Miss the report and the company is first labeled delinquent, then penalized, and eventually dissolved, which can cost you your name, your bank account and your ability to sign contracts or sue in the company name.
Who must file an annual report in Illinois?
Domestic and foreign LLCs, domestic and foreign for-profit corporations, and not-for-profit corporations each file an annual report; the form differs. Sole proprietorships and general partnerships do not file one, because they never registered with the state (they use county assumed name filings instead). A foreign company admitted in Illinois must file here even though it also reports in its home state; see foreign qualification in Illinois.
When is the Illinois LLC annual report due?
The report is due before the first day of the anniversary month each year, the month in which the entity was organized. If the LLC was organized on September 15, the report is due before September 1 every year, and the Secretary of State mails a pre-filled version to the registered agent about 45 days before the due date. The statute lets you deliver it within the 60 days immediately preceding the anniversary month.
| Organized or incorporated in | Due before | Earliest filing date (about 60 days earlier) |
|---|---|---|
| March 2026 | March 1, 2027 | December 31, 2026 |
| June 2026 | June 1, 2027 | April 2, 2027 |
| October 2026 | October 1, 2027 | August 2, 2027 |
The first report is due in the year after formation, not in the year you form. Write the date on the Illinois compliance calendar and on the registered agent's reminder list.
How do you file an Illinois annual report step by step?
- Find your file number and anniversary month in the Secretary of State's business entity search.
- Confirm the registered agent and office are current. If either must change, file the annual report showing no change, then change the agent online or on form LLC-1.36/1.37 (corporations use BCA 5.10/5.20).
- Open the online filing for your entity type (LLC, corporation or not-for-profit).
- Review the pre-filled data: name, registered office, principal place of business, and the managers (LLC) or officers and directors (corporation). A manager signs for an LLC; an officer signs for a corporation.
- Pay by card. A processor fee is added. Any penalties already incurred must be paid at the same time.
- Save the confirmation and download a certificate of good standing ($25) if a bank, lender or other state asks for one.
Some situations cannot be filed online. An LLC cannot use the online system if it was administratively dissolved or revoked, has more than eight managers, has a manager not qualified to transact business in Illinois, or has changes to its name, duration, purpose, registered agent name or registered office address. A corporation cannot use it if it needs to list more than six officers or six directors, owns property or does business outside Illinois, or has changes in authorized shares, issued shares or paid-in capital.
What are the registered agent rules?
The registered agent receives legal papers and official mail for the company. The rules in the Secretary of State's guides are:
- Who: for an LLC, an individual who lives in Illinois or an entity authorized to transact business in Illinois. For a corporation, a person who resides in Illinois, or a corporation whose articles authorize it to act as an agent and that has an Illinois office.
- Where: the registered office must be in Illinois, have a street or road address (a P.O. box alone is not accepted) and match the agent's business office address.
- Consent: name someone only after they agree to serve. The agent may be an organizer, manager, member or employee unless your documents say otherwise.
- Changes: a statement of change of registered agent or office costs $25; online expedited processing totals $75. A resignation filing costs $5.
- Resignation risk: if your agent resigns and you do not appoint a new one within 60 days of the state's notice, the LLC can be declared delinquent.
Many owners use a commercial agent so that mail is reliably received during business hours. The law permits it, as long as the entity is authorized to transact business in Illinois.
What are the penalties for a late annual report?
For an LLC the sequence is: delinquent status if the report is not filed before the anniversary month starts; a $100 penalty if the default is not corrected before the first day of the second month after the anniversary month; $100 more for each year of delinquency from the second year on; and administrative dissolution if no report is filed within about 120 days of delinquency. Reinstatement after administrative dissolution costs $200 plus all reports and penalties due. While an LLC is delinquent, the state will not file other documents for it and may show it as not in good standing.
For a corporation, penalties and interest apply under the Business Corporation Act, and the state will not file other papers for a corporation in default on franchise tax, fees or on a return that the Department of Revenue reports as unfiled. A corporation reinstates with form BCA 12.45 or 13.60 and a $200 fee, filed with the missing annual reports. Statutory amounts can change, so check the Secretary of State fee schedule before paying.
How does Illinois compare with Canada and India?
| Country | Registry | What is filed |
|---|---|---|
| Illinois | Secretary of State | One annual report, by the anniversary month |
| Canada | Corporations Canada or the provincial registry | An annual return; timing is set by the registry |
| India | Ministry of Corporate Affairs (Registrar of Companies) | Financial statements and an annual return for companies; Form 8 and Form 11 for LLPs |
The annual business reports comparison sets out the Canadian and Indian filings, deadlines and late consequences. Owners with companies in more than one country should keep one calendar for all three.
Worked example
Kavita, who moved from Pune to Batavia, organized her marketing LLC on March 12, 2026. Her anniversary month is March, so the first annual report is due before March 1, 2027, and she may file from December 31, 2026. She files on February 10 and pays $75. Had she ignored the notice, the company would turn delinquent on March 1, owe $100 if still unfiled by May 1, and risk dissolution after roughly 120 days, with a $200 reinstatement fee on top of back filings.
Mistakes to avoid
- Updating the agent's address with the bank but not the Secretary of State.
- Assuming the first report is due 12 months from the filing date rather than before the anniversary month.
- Filing the annual report and forgetting the separate franchise tax and report details for a corporation.
- Letting a family member serve as agent and then moving away.
- Ignoring IDOR notices; for a corporation they can block state filings (see the Illinois income tax guide).
How we can help
Our firm, based in the Aurora area, tracks annual report dates for Illinois clients, reviews registered agent arrangements and coordinates the tax returns that must match the entity record. If you also have Canadian or Indian entities, we work with your Canadian CPA or Indian Chartered Accountant so the three calendars line up. Frequently asked questions
What is the annual report fee for an Illinois LLC?
$75, plus $50 for each series for which a certificate of designation is in effect. Online filing adds a payment processor fee.
Can I file the Illinois annual report early?
Yes, within the 60 days immediately preceding the first day of your anniversary month.
Do I have to be the registered agent myself?
No. You can serve as agent if you live in Illinois and use your street address, but a commercial agent or another Illinois resident can serve too.
What happens if my LLC is administratively dissolved?
You lose good standing and the company name can become available to others after three years. Reinstatement requires an application, all missing reports and all penalties, with a $200 filing fee for an LLC.
Does a sole proprietor file an annual report?
No. A sole proprietor files an assumed name certificate with the county clerk only if a name other than the owner's is used.
