A Limited Liability Partnership (LLP) is lighter to run than a company, but it is not filing-free. India LLP compliance centres on two annual forms with the Registrar of Companies, Form 8 and Form 11, plus an income tax return, a set of change-notification forms, and RBI reporting when a foreign partner contributes capital. This guide assumes a 31 March financial year and explains each duty in order, with dates for 2026-27.
What does India LLP compliance involve, and who can use an LLP?
An LLP suits professional firms, consultancies and small service businesses where partners want contractual flexibility. The RBI's Master Direction allows a non-resident, other than citizens of Pakistan or Bangladesh, to contribute to the capital of an LLP only where the sector allows up to 100% foreign investment under the automatic route and there are no FDI-linked performance conditions. A company with foreign investment in such a sector can convert into an LLP, and the reverse also works. Payment must arrive through banking channels, and profit share is treated as reinvestment of earnings.
The LLP Act requires at least two designated partners, at least one of them resident in India. A designated partner's DIN is covered by the same triennial DIR-3 KYC cycle as a company director's.
| Feature | Private limited company | LLP |
|---|---|---|
| Annual ROC forms | AOC-4 and MGT-7 or MGT-7A | Form 8 and Form 11 |
| FDI access | Broad, with sector caps | Automatic-route sectors without conditions only |
| Raising equity from investors | Straightforward | Limited |
| Governance load | Board meetings, AGM, auditor | LLP agreement, designated partners |
| Income tax return | ITR-6 | ITR-5 |
How to file Form 8 and Form 11
- Confirm the partner data is current. Form 11 needs each partner's obligation of contribution, contribution received and accounted for, and whether the partner is resident in India. File any pending Form 4 first, because the MCA's instruction kit warns that Form 11 will not be accepted while certain Form 4 filings are outstanding.
- Prepare the statement of account and solvency. Form 8 is filed under the LLP Act read with rule 24 of the LLP Rules, 2009, and covers the statement of account and solvency, with a separate option for charge filings.
- File Form 8 by 30 October. The MCA's kit computes the time limit as T plus 30 days, where T is 30 September.
- File Form 11 by 30 May. The kit computes this as T plus 60 days, where T is the year-end date.
- Sign with a DSC and pay. The MCA cancels an SRN if the signed PDF is not uploaded within 15 days of generation.
Late filing attracts additional fees that rise with the delay, and the MCA's kit publishes a lower schedule for "small LLPs".
Documents and information you need
- The LLP agreement and any amendments filed on Form 3, with the latest partner and designated-partner list
- Year-end accounts: statement of assets and liabilities, income and expenditure, and the partners' solvency declaration
- Capital contribution records for every partner, including the bank evidence for foreign contributions
- Each partner's PAN, passport or DIN details, and residence status for Form 11
- DSCs of the designated partners, and a professional's certification where the rules require it
Income tax, TDS and GST for an LLP
An LLP is taxed as a firm. Its return is due by 31 October if its accounts must be audited, with the AY 2026-27 date extended to 21 November 2026 by a CBDT press release of 28 September 2026, and by 31 August if it has business income but is not audited. Transfer pricing cases are due by 30 November. The tax audit thresholds under the Income-tax Act, 2025 repeat the old ones: turnover above Rs 1 crore for business (Rs 10 crore where cash receipts and payments stay within 5%) and gross receipts above Rs 50 lakh for a profession. An LLP with international transactions with associated enterprises needs the transfer pricing report; see transfer pricing basics.
TDS, advance tax and GST follow the same rules as for companies, and an LLP holding foreign investment files the RBI's FLA return by 15 July, as explained in our FDI and FEMA guide.
A worked example
A Hyderabad consulting LLP has a March year-end and one U.S. partner from Geneva, Illinois. For FY 2025-26, Form 11 was due 30 May 2026. Form 8 is due 30 October 2026, and because the LLP's accounts are audited, its income tax return is due 21 November 2026. A new designated partner joined in August, so Form 4 must be approved before Form 11 for FY 2026-27 can be filed by 30 May 2027. How the LLP is classified for U.S. purposes decides whether the U.S. partner files Form 5471 or Form 8865, so we settle that before the first U.S. filing.
Mistakes to avoid
- Filing Form 11 before updating partner changes with Form 4
- Treating Form 8 as optional for a small or inactive LLP
- Admitting a foreign partner in a restricted sector without checking the route
- Forgetting the FLA return once foreign capital is in
- Letting partners' personal residence status drift without updating records
