US Business Closing and Dissolution Tax Steps: Final Returns, Payroll and EIN

Follow the federal tax steps to close a US business: final returns by entity type, Form 966, final payroll, 1099s and EIN closure, with foreign-owner notes.

Shutting down a company does not end its tax filings; it adds a last set of them. The IRS expects a final return for the year the business closes, a closing of the payroll accounts, reports for contractors you paid, and a record of what happened to the assets. This guide to US business closing and dissolution tax steps lists the federal tasks by entity type, adds the points that matter when the owner lives in India or Canada, and shows the order that avoids notices later. State and local closing steps, such as the Illinois Secretary of State, are separate; the IRS itself reminds closers to check state responsibilities.

Who needs to follow these steps

Any business with an EIN that stops operating, sells to a buyer, merges or dissolves needs a closing plan. An LLC follows the steps of the way it is taxed: as a sole proprietor if disregarded with an individual owner, as a partnership if it has two or more members, or as a corporation if it elected that treatment. A foreign-owned disregarded LLC follows the corporation route for its pro forma Form 1120 and Form 5472.

US business closing and dissolution tax steps, in order

  1. Decide the closing date and method. Dissolve, sell the business, or sell assets and wind up. The method decides which forms apply.
  2. Pay final wages and finish payroll. Make the last federal tax deposits. If you do not withhold or deposit employee income, Social Security and Medicare taxes, the Trust Fund Recovery Penalty may apply.
  3. File the final employment returns. File Form 941 or Form 944 for the period of the last wages, check the box that the business has closed and enter the final wage date. Attach a statement showing who keeps the payroll records and where. File Form 940 for the year of the final wages with the final-return box checked.
  4. Give employees Forms W-2. Furnish them by the due date of the final Form 941 or 944, and send Copy A with Form W-3 to the Social Security Administration. Businesses with tipped employees may also file Form 8027.
  5. Report contractor payments. Use Form 1099-NEC with Form 1096 for paper filing. The IRS closing page still refers to the $600 level, but Publication 15 states the threshold is $2,000 for payments made after 2025, so confirm the current threshold.
  6. Handle assets. Use Form 4797 for business property sold and Form 8594 if you sell the business as a going concern.
  7. File the final income tax return as in the next section.
  8. Pay the tax. Use the normal IRS payment methods.
  9. Close the IRS business account. Send a letter with the legal name, the EIN, the business address and the reason, with a copy of your EIN notice if you have it. The IRS also says it cannot cancel an EIN but can deactivate it.
  10. Keep the records. Keep the closing files for the periods in our record retention guide.

Deadlines for the final returns

A corporation that has dissolved must generally file by the 15th day of the 4th month after the date it dissolved; a short-year partnership return is due by the 15th day of the 3rd month after its tax year ends. If the date falls on a Saturday, Sunday or legal holiday, the next business day applies. Form 7004 gives an automatic extension to file. The Form 966 timing and the Form 940 due date for a closing employer have their own rules, so check the current Form 966 and Form 940 instructions before you set a calendar.

Foreign-owned companies: extra points

  • Form 5472. Amounts connected with the dissolution and disposition of a foreign-owned disregarded entity, and distributions from it, are reportable transactions, so the final year usually carries a Form 5472. See the subsidiary guide.
  • Withholding on distributions. Liquidating distributions and the sale of US real property interests by foreign owners can trigger withholding and reporting, such as FIRPTA at 15% of the amount realized; get advice before you pay out the cash. Read withholding on payments to foreign persons.
  • Home-country steps. An Indian parent has reporting duties under the RBI overseas investment rules when it winds up or disinvests an overseas subsidiary, and a Canadian parent reports the disposition on its Canadian return; each foreign advisor confirms.
  • Treaties and credits. US tax on the gain may be creditable at home; see foreign tax credits across three countries.

Documents and information you need

  • Final trial balance, bank statements and a list of assets sold, with purchase dates and basis
  • Dissolution resolution or plan and the date of dissolution
  • Payroll registers, Forms W-4, tax deposit proofs and the date of the last wage payment
  • A list of contractors paid and their tax identification details
  • Sale agreement and the allocation of purchase price, for Form 8594
  • EIN notice and the last filed returns

A worked example

Two partners, one in Batavia and one in Pune, close their Illinois LLC consulting firm on September 30, 2026. They sell equipment for US$85,000 (basis US$60,000) and pay the last wages that day. The LLC files the final Form 941 for the third quarter with the closing box checked (due Monday, November 2, 2026, because October 31 is a Saturday), issues Forms W-2 by that date, and files a final Form 1065 for January 1 to September 30 by December 15, 2026, with Form 4797 for the equipment and the final return and final K-1 boxes checked. After the returns are filed and taxes are paid, it mails the EIN closure letter to the IRS. The Pune partner discusses the Indian side with her Chartered Accountant. All figures are hypothetical.

Mistakes to avoid

  • Closing the bank account before the final payroll and tax payments clear.
  • Skipping the final return box, which can leave the IRS expecting returns for future years.
  • Forgetting Form 966 when a corporation adopts a plan to dissolve.
  • Distributing cash to a foreign owner without checking withholding.
  • Letting the state registrations stay open after the federal ones are closed; see Illinois annual reports.

Frequently asked questions

Do I have to file a final return?

Yes. The IRS says you must file a final return for the year you close, and the type depends on your entity.

How do I close my EIN?

Send the IRS a letter with the business name, EIN, address and reason. The IRS says the account cannot be closed until all returns are filed and taxes owed are paid.

What is Form 966?

Corporate Dissolution or Liquidation. A corporation files it if it adopts a resolution or plan to dissolve or liquidate any of its stock.

How long do I keep records after closing?

The same periods apply: generally 3 years for income tax records, at least 4 years for employment tax records, and property records until the limitations period for the year of disposal ends.

Does dissolving the company end my Form 5472 duty?

Not for the year of dissolution. If there were reportable transactions in that year, the final return still carries Form 5472.
