Business Laws for Foreign-Owned and Cross-Border Businesses

Plain-English guides to federal, Illinois and Cook County business laws for owners with ties to India, Canada and the USA, with slides, tables and charts.

General information only, not legal advice. CPA Tax Payroll and Accounting Corp is a CPA firm, not a law firm. Laws change: confirm with the official source or a licensed attorney before you act. Read the full notice.

This section collects business laws for foreign-owned businesses and cross-border owners: the federal, Illinois and Cook County rules that reach a U.S. company with owners, money or workers on both sides of a border. It is written for people in India, Canada and the United States who run an Illinois company, hire a first U.S. employee or pay people abroad. We are a CPA firm, so we explain the tax, payroll and accounting side.

How are these business laws for foreign-owned businesses organized?

The guides sit on three levels. Federal laws apply in every state to businesses that meet each law's own test. Illinois laws apply to companies formed in Illinois, to work done there and to business with Illinois customers. Cook County laws apply only inside Cook County, while Kane, DuPage, Will and Kendall counties follow state law on paid leave and minimum wage, though a city or village can have its own rules. Two pages tie the levels together: laws that touch a foreign-owned US business and the first-year compliance timeline for an Illinois company.

How do you read a law's two pages?

Page one is the overview: who the law covers, a short slide show and a table on what changes for owners in India, Canada or the USA. Page two lists the requirements, key numbers with their years, recent and pending changes, a named checklist, common mistakes and when to call an attorney. A rule that is only proposed is labeled as proposed.

Slide show: How to use these guides

  1. Start with your facts

Note where the company is formed, where people work, how many employees you have and who owns it.

  2. Pick the level

Federal, Illinois or Cook County. A workplace in Kane, DuPage, Will or Kendall county is outside the Cook County ordinances.

  3. Read the overview first

Page one says who the law covers and what to check if you own or run the business from India or Canada.

  4. Check the numbers and dates

Page two gives each amount with its year. Proposed rules are labeled as proposed.

  5. Take the checklist to your advisers

We handle the U.S. tax, payroll and accounting side. Your attorney, Canadian CPA or Indian CA covers the rest.
