What the law requires: Illinois medical corporation rules

Topic (section)What the rule says
Formation (2, 3)Organize under the Business Corporation Act on form BCA 2.10(MCA). The Medical Corporation Act prevails on a conflict.
Name (4)Ends in Service Corporation, S.C., chartered, limited or Ltd.
Registration (5, 7 to 9)No practice may open without an IDFPR certificate, one per Illinois location. Post it; it is not assignable.
Licensing and taxes (10)Remove a licensee who loses the license or acts unethically, or the certificate risks discipline. IDFPR may refuse renewal over unfiled Illinois returns or unpaid reported or assessed tax.
Buy-out (16)The Act sets only a default price (book value at the prior month end) if the documents state none.

Recent and pending changes

  • Public Act 104-764, listed as effective January 1, 2027, adds a discipline ground: willful or reckless failure to make the new 24-hour misconduct report to IDFPR. Not yet in force.

The named checklist: the Lanyard-and-Ledger Match

  1. Match. Pair every stock ledger and officer name with a current license.
  2. Votes. Confirm no proxy or side agreement gives an unlicensed person a vote.
  3. Articles. File form BCA 2.10(MCA), $150, with an allowed name ending.
  4. Register. Apply to IDFPR for each location before seeing patients ($50), then post the certificate.
  5. Calendar. Diary January 1, 2028 (compliance calendar); check License Lookup.
  6. Buy-out. Consider written terms for a deceased or disqualified shareholder.
  7. Annual. Keep the $75 annual report and Illinois returns current.

Common mistakes

  • Treating patients before the certificate arrives.
  • One registration for several locations.
  • An unlicensed relative or investor holding shares or a management role.
  • Missing the three-year renewal because the annual report is yearly.

When to bring in an attorney

  • Whether non-physician investors, management companies or hospital affiliates may take part.
  • Buy-sell terms, or the death of the last shareholder.
  • Entity choice (medical corporation, professional corporation or professional LLC), or an IDFPR notice.

Frequently asked questions

Can a non-physician investor own shares of an Illinois medical corporation?

Not under Section 13: every officer, director and shareholder must be licensed.

How often does a medical corporation renew with IDFPR?

The Act says every third January 1, at $40; next is January 1, 2028. IDFPR's pages do not confirm it; check License Lookup.

Does a physician trained abroad qualify to own shares?

The test is the Medical Practice Act license. IDFPR handles licensing; an immigration attorney handles visas.

Do I need a certificate for each office?

Yes, one application per Illinois location.
